Jeffrey Bolton III, a likeable millionaire who, despite his father's insistance, would really like to quit the family business and do something meaningful with his life...
...and Phil O'Niel, an - unknown to Kay - (broke) poser who eventually beats out Jeff to win Kay's heart...
...which forces Kay (and Paul) to decide if money or love is more important - and gives Barb an opportunity to appreciate Jeff for who he really is.
